Please read these Terms carefully. By engaging Forge Digital Studio for any service, you agree to be bound by these Terms of Service. If you do not agree, please do not proceed with any engagement.
01 Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Forge Digital Studio ("Forge," "we," "us," or "our"), a digital agency operating in Accra, Ghana.
By requesting a quote, signing a project agreement, making a payment, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
These Terms apply to all services provided by Forge Digital Studio, including but not limited to brand identity design, web design, web development, motion graphics, SEO, digital marketing, and consultancy.
02 Our Services
Forge Digital Studio provides the following categories of services:
- Brand Identity & Strategy — Logo design, brand guidelines, visual identity systems, and brand positioning strategy.
- Digital Experience Design — UI/UX design, product design, wireframing, prototyping, and design systems.
- Web & App Development — Website development, web application development, mobile-responsive design, CMS integration, and e-commerce solutions.
- Motion & Animation — Motion graphics, brand films, explainer videos, animated assets, and micro-interactions.
- SEO & Content Strategy — Search engine optimisation, content strategy, technical SEO audits, and analytics setup.
- Performance Marketing — Paid advertising strategy, campaign management, and conversion optimisation.
The specific scope of services for any engagement is defined in the Project Proposal or Service Agreement provided to you prior to commencement of work.
03 Project Engagement
Project Kickoff
All projects begin with a discovery call or briefing session. Work commences only after a signed Project Agreement and receipt of the agreed deposit payment.
Client Responsibilities
You agree to:
- Provide all required content, assets, brand materials, and information within agreed timelines.
- Designate a single point of contact for all project communication.
- Provide timely feedback within the review periods specified in your Project Agreement.
- Ensure that any content, images, or materials you supply do not infringe third-party intellectual property rights.
Project Timelines
Project timelines are agreed upon in writing before work begins. Delays caused by late delivery of client materials, prolonged feedback periods, or scope changes may extend delivery dates. Forge Digital Studio will communicate any timeline changes promptly.
Communication
Primary project communication is conducted via email at info@forgetechne.com or via WhatsApp. All approvals, change requests, and sign-offs that affect scope or deliverables must be confirmed in writing (email or message).
04 Payment Terms
Deposit
All projects require a non-refundable deposit of 50% of the total project fee before work begins. The deposit confirms your commitment to the project and reserves our studio time.
Final Payment
The remaining balance is due upon project completion and before final files, source files, or website access are transferred to you.
Payment Methods
We accept payment via Mobile Money (MTN, Telecel, AirtelTigo), bank transfer, and other methods agreed upon in writing.
Late Payments
Invoices not paid within 14 days of the due date may incur a late payment fee of 5% of the outstanding amount per month. Forge Digital Studio reserves the right to pause work on any project with overdue payments.
Refunds
The initial deposit is non-refundable. If a project is cancelled by the Client after work has commenced, fees for all work completed to date are due and payable. If a project is cancelled by Forge Digital Studio, we will refund any amounts paid for work not yet delivered.
Pricing
All prices are quoted in Ghana Cedis (GHS) or US Dollars (USD) as specified in your Project Agreement. Prices are subject to change for new projects but will never change once a Project Agreement has been signed.
05 Intellectual Property
Ownership Upon Full Payment
Upon receipt of full payment, Forge Digital Studio assigns to you all rights, title, and ownership of the final deliverables created specifically for your project. This includes final artwork, approved designs, and the compiled website or application.
What We Retain
Forge Digital Studio retains ownership of:
- All preliminary designs, drafts, and concepts not selected by the Client.
- Proprietary tools, frameworks, processes, and methodologies used in delivering the work.
- The right to display the completed work in our portfolio, on our website, and in marketing materials, unless you specifically request otherwise in writing.
Third-Party Assets
If your project uses licensed third-party assets (stock photos, icons, fonts, software licences), the terms of those licences apply separately. You are responsible for any ongoing licence fees for third-party assets used in your project.
Open Source
Websites built using open-source frameworks (e.g., WordPress, React) are subject to the respective open-source licences. These remain available to you but cannot be exclusively "owned."
06 Confidentiality
Both parties agree to keep confidential any information disclosed during the project that is designated as confidential, or that reasonably should be understood to be confidential given the nature of the information.
Forge Digital Studio will not disclose your business information, strategies, unreleased products, or financial data to any third party without your written consent, except as required by law.
We may share project information with trusted sub-contractors or freelancers who are engaged to assist with specific aspects of your project, under confidentiality obligations.
07 Revisions & Changes
Included Revisions
Each project proposal specifies the number of revision rounds included. Revisions are defined as minor modifications to approved designs — adjustments to colours, copy, layout within the agreed concept direction.
Scope Changes
Requests that represent a change in project scope — including new pages, new features, changes to approved concepts, or additional deliverables — will be quoted separately as change orders and require written approval before work begins.
Additional Revisions
Revisions beyond the included rounds are billed at GHS 150 / $10 USD per hour, or at rates agreed in your Project Agreement.
08 Limitation of Liability
To the maximum extent permitted by applicable law, Forge Digital Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of our services.
Our total liability to you for any claim arising from our services shall not exceed the total amount paid by you to Forge Digital Studio in the three (3) months preceding the claim.
We make no warranty that websites or applications we deliver will be free from bugs or errors after launch, and we are not responsible for issues arising from third-party services, hosting providers, or client-made modifications.
Website Performance
While we build to the highest performance standards, we do not guarantee specific search engine rankings, traffic volumes, or conversion rates, as these depend on many factors beyond our direct control.
09 Termination
Termination by Client
You may terminate a project at any time by providing written notice. All fees for work completed up to the date of termination are immediately due. The initial deposit is non-refundable.
Termination by Forge
We reserve the right to terminate an engagement if:
- Payment obligations are not met after reasonable notice.
- The Client requests work that is illegal, unethical, or violates the rights of third parties.
- The working relationship becomes untenable due to abusive communication or unreasonable demands.
In such cases, we will refund any amounts paid for work not yet delivered.
Project Abandonment
If a project is inactive for 90 days due to lack of client response, we reserve the right to close the project. Reactivation may require a new deposit.
10 Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from these Terms or from our services shall first be addressed through good-faith negotiation.
If a dispute cannot be resolved through negotiation within 30 days, both parties agree to submit to the exclusive jurisdiction of the courts of Ghana.
